# 1. Introduction
Welcome to Zuss (“Zuss,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, applications, and all related products and services (collectively, the “Service”). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
If you do not agree with any part of these Terms, you must stop using the Service immediately. # 2. Eligibility
You must be at least 18 years old, or the legal age of majority in your jurisdiction, to use the Service. If you use the Service on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.
# 3. Account Registration
You may need an account to access certain features of the Service. You agree to:
- Provide accurate, complete, and up-to-date information;
- Maintain the confidentiality of your login credentials;
- Notify us immediately of any unauthorized use of, or activity on, your account.
You are responsible for all actions taken under your account, whether or not authorized by you.
# 4. Permitted Use & Prohibited Conduct
4.1 Permitted Use
Zuss grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service in accordance with these Terms.
4.2 Prohibited Conduct
You agree not to:
- Generate, upload, or distribute any content that is illegal, harmful, violent, hateful, misleading, pornographic, or otherwise objectionable;
- Upload or generate content that infringes or misappropriates third-party intellectual property rights (including, without limitation, movie and television characters, anime/game characters, trademarks, and other copyrighted materials);
- Conduct unauthorized face-swapping or identity impersonation;
- Upload personal information of others without their explicit consent;
- Engage in political promotion, political campaigning, or unsolicited advertisements;
- Engage in any activities involving minors in inappropriate, exploitative, or harmful ways;
- Reverse engineer, decompile, disassemble, or otherwise attempt to access or derive the source code or underlying structure of the Service;
- Use automated bots, scrapers, crawlers, or similar tools to access or interact with the Service, except as expressly permitted in writing by Zuss;
- Upload, transmit, or distribute viruses, malware, or other harmful code;
- Interfere with, disrupt, or attempt to disrupt the Service, the servers, or networks connected to the Service.
Violation of this Section may result in suspension or termination of your account and access to the Service.
# 5. User Content & Generated Content
5.1 Ownership
You retain ownership of any content, data, or materials you upload, submit, or otherwise make available through the Service (“User Content”). You are solely responsible for your User Content and for ensuring that it complies with these Terms and all applicable laws.
5.2 License to Zuss
By submitting User Content to or through the Service, you grant Zuss a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, distribute, publicly display, and otherwise process such User Content for the purposes of operating, maintaining, improving, and promoting the Service, and for related internal business purposes.
5.3 Content Restrictions
You agree not to upload, generate, or share any User Content that:
- Is misleading, false, or inaccurate;
- Violates any applicable laws or regulations;
- Engages in unauthorized face-swapping or identity impersonation;
- Infringes or misappropriates the intellectual property or other rights of any third party (including but not limited to film and television content, animation, game characters, trademarks, and other copyrighted materials);
- Includes unsolicited promotions, advertising, political campaigning, or solicitations;
- Shares personal details or sensitive information of others without their explicit consent;
- Discloses information you are not authorized to share due to legal, contractual, or fiduciary obligations;
- Could endanger, exploit, or harm children, or expose minors to inappropriate content;
- Contains any form of malware, viruses, or other harmful or malicious code;
- Contains explicit sexual material, sexually explicit themes, or otherwise adult content not permitted under our policies;
- Is deemed, in our sole judgment, inappropriate, abusive, or disruptive to other users’ experience, or poses potential harm or liability to Zuss or any third party.
Any violation of this Section may result in the suspension or termination of your account, removal or restriction of the relevant content, and any other remedial actions we deem appropriate.
5.4 Public Visibility (Explore Feed and Similar Features)
If you choose to make content created using the Service (“Generated Content”) public, including by publishing it to an Explore feed, Inspiration feed, gallery, or any other publicly accessible area of the Service, such content may be subject to additional review and moderation processes.
Moderation & Safety:
To support platform safety, legal compliance, and community standards, Zuss may apply automated and/or human review mechanisms. Content identified through these processes as sensitive or restricted may be limited in visibility, restricted from recommendation systems, or deemed ineligible for publication to public feeds.
License for Public Content:
By making content public, you expressly grant Zuss a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable license to use, host, store, reproduce, modify, adapt, publish, translate, create derivative works from, publicly perform, publicly display, and distribute such public Generated Content for purposes including, but not limited to:
- Operation and maintenance of the Service;
- Content curation, ranking, and presentation within public feeds;
- Marketing, promotion, and demonstration of the Service.
This license applies only to Generated Content that you have designated as public or otherwise made publicly available through the Service.
# 6. Intellectual Property
6.1 Ownership of Zuss Content
All intellectual property rights in and to the Service, including but not limited to the software, code, models, interfaces, text, graphics, logos, trademarks, design elements, and other content provided by Zuss (collectively, “Zuss Content”), are owned by Zuss or its licensors. Except as expressly stated in these Terms, no rights or licenses in or to the Zuss Content are granted to you, whether by implication, estoppel, or otherwise.
If you wish to use the Service, Zuss Content, or other materials in any manner not expressly permitted by these Terms, you must obtain our prior written consent. Where such permission is granted, you must comply with any conditions we specify, including appropriate attribution to Zuss as the owner or licensor of the relevant content.
6.2 User Feedback
Any feedback, suggestions, ideas, or comments you provide to Zuss regarding the Service (“Feedback”) are entirely voluntary. You acknowledge and agree that:
- Zuss will own all rights, title, and interest in and to the Feedback;
- Zuss may use, modify, and exploit the Feedback for any purpose, including improvement and development of the Service, without any obligation or compensation to you.
# 7. Membership, Credits & Subscriptions
7.1 Membership Plans
Zuss offers different membership plans, which may include Free, Standard, Premium, or other tiers announced on the Service from time to time. Each plan may differ in terms of:
- Available features and tools;
- Usage limits and quotas;
- Included credits;
- Storage capacity and content retention periods;
- Pricing, discounts, and billing cycles.
The current description of each plan, including included benefits, feature sets, and limitations, is published on the Service or relevant product pages and forms part of these Terms. We may update or adjust plan structures, naming, or benefits over time. Where a change materially affects paid users, we will use reasonable efforts to notify you in advance, in accordance with applicable law.
7.2 Credits
Certain features of the Service require the consumption of credits (“Credits”). Credits may be:
- Included as part of a membership plan;
- Purchased separately as credit packs;
- Granted through promotions, events, support gestures, or goodwill.
Credits are a measure of usage within the Service and have no cash or monetary value. Credits cannot be redeemed for cash, refunded as currency, or transferred outside of the Service unless we explicitly allow it in writing.
Each category or source of Credits may have its own validity period, expiration rules, and usage scope, which will be published on the Service. Expired Credits are automatically removed from your account and cannot be restored, extended, or converted into any form of compensation.
7.3 Billing and Auto-Renewal
For paid memberships and paid credit packs:
- You authorize Zuss and our third-party payment processors to charge your selected payment method for the fees associated with your plan or purchase, including any applicable taxes and charges.
- Unless otherwise stated, membership plans automatically renew at the end of each billing cycle (for example, monthly or yearly) at the then-current price, until you cancel your subscription in accordance with these Terms.
- If we change the price of a recurring plan, we will notify you in advance where required by applicable law, and the new price will apply from the next billing cycle after such notice.
7.4 Payment Failures and Downgrades
If a charge cannot be processed:
- We may attempt to retry the charge within a reasonable period of time;
- If payment still fails, we may suspend or downgrade your membership, reduce your access to paid features, or restrict further use of the Service beyond free or trial tiers;
- We are not responsible for any loss of access, data, content, or configuration resulting from your failure to maintain a valid and current payment method.
7.5 Cancellation of Subscription
You may cancel your recurring membership at any time through your account settings, in accordance with the instructions provided on the Service.
- Cancellation takes effect at the end of the then-current billing period;
- After cancellation, no further recurring charges will be applied to your account;
- Fees already paid for the current billing period remain in effect and cannot be refunded on a prorated basis, unless required by applicable law or expressly provided in our Refund Policy.
# 8. Refund Policy
Generally Non-Refundable
Due to the nature of our AI-powered Service, all fees paid to Zuss are generally non-refundable once access has been granted or Credits have been delivered to your Account, except as expressly permitted under our Refund Policy and within the applicable refund request period.
The generation of images and videos through our AI-driven enhancer process requires significant computational resources, in particular GPU processing time that is billed to us by our upstream infrastructure and model providers. These upstream providers do not offer refunds for consumed GPU time or related processing costs. As a result, refunds are generally not available for purchases associated with completed AI generation tasks or consumed computational resources.
By purchasing a subscription, credit pack, or any other paid feature of the Service, and by clicking “Subscribe,” “Purchase,” or a similar confirmation button during checkout, you acknowledge and agree that:
- you receive access to digital content and services that are delivered immediately;
- you waive, to the maximum extent permitted by applicable law, any statutory right of withdrawal or refund once the Service or Credits have been made available to your Account, except where a refund is expressly permitted under our Refund Policy or required by applicable law; and
- except as expressly provided in our Refund Policy or required by applicable law, Zuss has no obligation to provide refunds, account credits, or price adjustments for subscriptions, Credits, or other digital items, including in cases of unused time, unused Credits, or dissatisfaction with the creative results.
Where mandatory consumer protection law in your jurisdiction grants you non-waivable refund or withdrawal rights, we will honor those rights as required by law, and this section will apply only to the extent permitted.
We strongly encourage you to use any free tier, trial options, sample content, or limited-access features we provide to evaluate whether the Service meets your needs before making a paid purchase.
# 9. Termination and Suspension
9.1 Termination by You
You may terminate your account at any time by following the account deletion or termination process provided in the Service. Termination is effective once the process is successfully completed.
9.2 Termination or Suspension by Zuss
We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if:
- You violate these Terms or any other applicable policies;
- Your activity creates or is likely to create legal, security, reputational, or operational risk;
- You misuse the Service or attempt to circumvent technical, security, or usage restrictions;
- We are required to do so by law, regulation, or court order.
Where reasonably appropriate, we may provide notice and an opportunity to correct the violation, but we are not obligated to do so in circumstances where immediate action is reasonably required.
9.3 Effect of Termination
Upon termination of your account or access to the Service:
- All licenses and rights granted to you under these Terms immediately cease;
- Your access to paid features and any remaining Credits may be discontinued in accordance with our policies;
- We may delete, anonymize, or otherwise limit access to your content and data in line with our data retention practices, subject to any legal obligations to preserve certain records;
- Any provisions of these Terms that by their nature should survive termination (including, without limitation, those relating to intellectual property, indemnification, and limitations of liability) will continue to apply.
# 10. Indemnification
You agree to indemnify, defend, and hold harmless Zuss, its affiliates, and its and their officers, directors, employees, and agents from and against any and all claims, demands, damages, liabilities, losses, costs, and expenses (including reasonable legal and attorneys’ fees) arising out of or in connection with:
- Your use or misuse of the Service;
- Your User Content or Generated Content;
- Your violation of these Terms or any applicable law or regulation;
- Your infringement or alleged infringement of any intellectual property, privacy, or other rights of any third party.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate with us in the defense and resolution of such claims.
# 11. Disclaimers and Limitation of Liability
11.1 Disclaimers
The Service and all content (including any AI-generated outputs) are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Zuss makes no representations or warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to any warranties of:
- Fitness for a particular purpose or expected result;
- Accuracy, completeness, or reliability of any content or outputs;
- Continuous, secure, or error-free operation of the Service;
- Non-infringement of third-party rights by any Generated Content or other outputs.
AI-generated content may be unpredictable, may contain errors, omissions, or biases, and may not be suitable for use without human review and judgment. You are solely responsible for how you use such content and for any decisions or actions based on it.
11.2 Limitation of Liability
To the maximum extent permitted by law, Zuss will not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages;
- Loss of profits, revenue, business, goodwill, or data;
- Damages arising from or related to your inability to access or use the Service.
In all cases, Zuss’s total aggregate liability for any and all claims arising out of or relating to the Service or these Terms shall be limited to the greater of:
- The amount you paid to Zuss for the Service in the three (3) months immediately preceding the event giving rise to the claim; or
- Fifty (50) United States Dollars for users who have not made any payments to Zuss.
Some jurisdictions do not allow certain exclusions or limitations of liability. In such cases, the above limitations will apply to you only to the extent permitted by applicable law.
# 12. Miscellaneous
- 1. Entire Agreement These Terms, together with any additional policies or terms referenced herein (including our Privacy Policy and any applicable Refund Policy), constitute the entire agreement between you and Zuss regarding your use of the Service and supersede all prior or contemporaneous agreements, understandings, and communications, whether oral or written, relating to the subject matter hereof.
- 2. Severability If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
- 3. No Waiver Our failure or delay in exercising any right, remedy, or provision under these Terms will not constitute a waiver of such right, remedy, or provision.
- 4. Assignment You may not assign, transfer, or delegate these Terms or any of your rights or obligations hereunder without our prior written consent. Zuss may assign or transfer these Terms, in whole or in part, to any affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of assets, without your consent.
- 5. Language If we provide translations of these Terms into other languages, the English version will prevail in the event of any conflict or inconsistency, unless mandatory local laws require otherwise.
